A Farmer Producer Company Limited enables eligible farmers and other primary producers to organise collectively for procurement, processing, value addition, marketing and member services.
Registration is governed by Chapter XXIA, Sections 378A–378ZU of the Companies Act, 2013, together with other applicable provisions and rules. Incorporation applications are submitted through the Ministry of Corporate Affairs’ SPICe+ process.
01. Who can form the company?
Section 378C permits these formation routes:
| Route | Minimum requirement |
|---|---|
| Individual producers | 10 or more individuals, each being a producer. |
| Producer institutions | 2 or more producer institutions. |
| Combination | A combination of 10 or more individuals and producer institutions, meeting statutory eligibility conditions. |
A producer institution must satisfy Section 378A. An ordinary company, trust, NGO or self-help group does not automatically qualify merely because it works with farmers.
The company ordinarily requires at least 5 and not more than 15 directors. There is no statutory maximum number of members. Special provisions apply to conversion of inter-State co-operative societies.
02. Decide the business first
Before registration, agree on the main commodities, villages and districts served, expected produce from members, buyers, marketing arrangements and proposed services.
- Identify activities to begin immediately and those planned later.
- Estimate member contributions, working capital and operating expenses.
- Allocate responsibilities to directors, the Chief Executive and accounting staff.
- Prepare a practical business plan and assess market demand.
Section 378B permits activities such as aggregation and marketing of members’ produce, processing, grading, packaging, input supply, technical services and other permitted member-oriented activities.
The company must deal primarily with the produce of its active members. Draft the objects around the actual proposed business.
03. Finalise the company structure
| Particular | Decision required |
|---|---|
| Company name | Suitable names ending with “Producer Company Limited”. |
| Registered office | State and usable office address. |
| Subscribers | Producer eligibility and each person’s share subscription. |
| First directors | At least five eligible persons; check disqualifications. |
| Resident director | Comply with the applicable resident-director requirement. |
| Capital | Authorised capital, subscribed capital, share face value and number of shares. |
| Objects and governance | Section 378B activities, membership rules, active-member criteria and management arrangements. |
Share capital consists only of equity shares. Chapter XXIA does not prescribe a universal minimum capital of ₹5 lakh or ₹10 lakh for incorporation.
Choose capital sufficient for the proposed business. Scheme or lender requirements must be checked separately.
04. Prepare the documents
| Category | Documents and information |
|---|---|
| Individual subscribers | PAN, accepted identity proof, residential address proof, occupation, contact details and proposed share subscription. |
| Producer eligibility | Producer/agriculturist certificates and supporting evidence appropriate to the activity. |
| Proposed directors | KYC documents, existing DIN if any, consent in DIR-2 and applicable declarations. |
| Registered office | Ownership/occupancy evidence, rent or lease agreement where applicable, owner’s NOC and recent utility bill. |
| Institution subscribers | Registration and constitutional documents, eligibility evidence, authorising resolution and representative details. |
| Company information | Names, objects, capital structure, subscriber and director list. |
| Constitutional documents | Properly prepared and executed Memorandum and Articles of Association. |
| Declarations | INC-9 and other declarations or attachments required for the filing route. |
Establish producer status
Evidence must establish that the subscriber genuinely undertakes the relevant production activity. Supporting records may include cultivation records or evidence of dairy, fisheries, poultry, horticulture or other eligible production.
For Karnataka cultivators, RTC/Pahani records may be useful. Land ownership is not the only possible test of producer eligibility.
MCA’s incorporation guidance identifies missing or inadequately authenticated producer certificates as a resubmission issue. Check the certificate and issuing authority against applicable requirements.
05. Obtain DSCs and check DINs
Obtain Digital Signature Certificates for the persons required to sign the application and linked forms. Complete MCA user registration and DSC association as applicable.
Check existing Director Identification Numbers. A person who already holds a DIN must not apply for a second one.
SPICe+ allows DIN applications for up to five proposed directors in a Producer Company. This is a DIN-allotment facility, not a five-director limit for the company.
06. Reserve the company name
Apply through SPICe+ Part A on the MCA portal.
- Check similarity with existing company and LLP names.
- Check relevant trademarks and obtain consent or approvals where required.
- Ensure the name reflects the proposed activities.
- Use “Producer Company Limited” as the ending.
Illustrative format: [Distinctive Name] Farmers Producer Company Limited.
Name reservation does not incorporate the company. File within the validity shown in the name approval or obtain an available extension where necessary.
07. Draft the Memorandum
The Memorandum must address Section 378F, including the company name, registered-office State, permitted objects, limited liability, capital and division into equity shares, subscriber details, shares subscribed, first-director particulars and other prescribed information.
Objects should accurately cover the intended business. For a seed business, consider relevant production, processing, storage, packaging and marketing activities. Incorporation does not replace seed-business licences.
08. Draft producer-specific Articles
The Articles must comply with Section 378G and Chapter XXIA. Cover:
| Area | Matters to include |
|---|---|
| Membership | Eligibility, admission, continuation and cessation. |
| Active members | Participation requirements and determination of active status. |
| Voting | Applicable member voting rights. |
| Directors | Election, tenure, retirement, vacation and permitted expert/additional directors. |
| Meetings | Notice, quorum, procedure and minutes. |
| Chief Executive | Appointment, authority and accountability. |
| Member benefits | Withheld price, limited return and patronage bonus. |
| Shares | Issue, transfer, nomination, surrender and related procedures. |
| Reserves and audit | General reserve, accounting arrangements and internal audit. |
| Disputes | Applicable dispute-resolution mechanism. |
Generic private-company Articles should not be adopted without incorporating the Producer Company requirements.
09. File the incorporation application
Complete SPICe+ Part B / INC-32, attach the documents and submit the applicable linked forms. Include company particulars, subscribers, directors, capital, registered office, DIN applications where required and PAN/TAN information.
| Form/document | Purpose |
|---|---|
| SPICe+ Part A | Name reservation. |
| SPICe+ Part B / INC-32 | Incorporation. |
| Memorandum and Articles | Objects and governance. |
| INC-9 | Subscriber/director declarations, as applicable. |
| AGILE-PRO-S / INC-35 | Linked registrations and bank-account application, as applicable. |
| DIR-2 | Consent of proposed directors. |
For the usual formation with ten individual subscribers, prepare signed Memorandum and Articles for attachment because the subscriber count exceeds seven. The filing professional should confirm the applicable electronic-document route against current MCA instructions.
Arrange professional certification, affix the required DSCs, complete validation and pay applicable fees and stamp duty.
10. Respond to MCA scrutiny
MCA may approve the application or return it for clarification. Before submission, verify:
- KYC names and particulars match.
- Producer certificates are legible and authenticated.
- Subscriber signatures and witnessing are complete.
- Capital totals agree across documents.
- Office documents are consistent.
- Objects and Articles comply with Chapter XXIA.
- Required consents and declarations are attached.
Reply to any resubmission within MCA’s specified time.
11. Receive incorporation approval
The Registrar issues the Certificate of Incorporation with the Corporate Identity Number. PAN and TAN are processed through the integrated incorporation system.
Section 378C(2) provides for registration within thirty days of receipt of required documents where the Registrar is satisfied that requirements have been met. This is not an unconditional completion guarantee.
Retain the certificate, approved constitutional documents, application, attachments, receipts and approval communications.
12. Complete initial compliance
| Action | Deadline or requirement |
|---|---|
| Registered office | Establish and verify within 30 days; file INC-22 where separately required. |
| First Board meeting | Arrange within 30 days under applicable general provisions. |
| First statutory auditor | Board appointment within 30 days, subject to the statutory fallback procedure if the Board fails. |
| Bank account | Complete KYC and activate promptly. |
| Subscription money | Collect and document what each subscriber agreed to pay. |
| Share certificates | Deliver subscriber certificates within 2 months of incorporation, with applicable stamping. |
| First AGM | Within 90 days of incorporation. |
| Director elections | Within 90 days of registration for an ordinary new incorporation. |
| Share nomination | Within 3 months of becoming a member. |
| INC-20A | Within 180 days, after receipt of subscription money. Satisfy Section 10A before commencing business or exercising borrowing powers. |
| Chief Executive | Appoint a full-time Chief Executive from persons other than members. |
| Internal audit | Arrange audit by a Chartered Accountant at intervals and in the manner specified in the Articles. |
| Registers and accounts | Maintain from incorporation. |
The Chief Executive is an ex officio director. Complete applicable appointment filings. Section 378W does not provide a general 90-day grace period for appointing the Chief Executive.
Plan the first AGM early
Give at least fourteen days’ statutory notice, comply with the Articles and prepare the required agenda and documents. Quorum is one-fourth of total membership unless the Articles require more. Address adoption of the Articles, director appointments/elections, auditor appointment and other applicable business.
13. Assess business-specific registrations
| Activity | Requirement to assess |
|---|---|
| Taxable supplies | GST registration under applicable provisions. |
| Food processing, packing, storage or sale | FSSAI registration/licence. |
| Seed business | Seed-dealer licence and applicable production/certification requirements. |
| Fertiliser business | Authorisation under the Fertiliser (Control) Order. |
| Insecticides/pesticides | Applicable licence. |
| Agricultural-market operations | State APMC/marketing requirements and exemptions. |
| Pre-packaged commodities | Legal Metrology requirements. |
| Import/export | IEC and product-specific requirements. |
| Processing/manufacturing premises | Local permissions, pollution-control consent and other approvals. |
Assess each requirement before operations begin, based on activity, premises, State and scale.
14. Set up continuing compliance
Create a calendar for Board meetings, AGM, statutory and internal audit, annual MCA filings, tax returns, TDS, GST, licence renewals and event-based filings.
Section 378ZA(10) provides a 60-day period after the AGM for the specified documents and annual return. MCA also confirms the 60-day financial-statement filing requirement for Producer Companies.
15. Understand registration costs
Obtain a written estimate separating name-reservation and MCA fees, State stamp duty, DSCs, professional drafting/certification/filing, producer-document preparation where applicable, post-incorporation compliance and business licences.
16. Common questions
Do we need 100, 300 or 1,000 farmers?
The individual-producer incorporation route starts with ten eligible producers. Government schemes may require different membership numbers for assistance.
Is a government scheme compulsory?
Incorporation and admission to a support scheme are separate processes.
Does registration guarantee a grant or loan?
No. Each scheme or lender has its own application, eligibility and approval requirements.
Must every member be a director?
No. Members elect the Board under the Act and Articles.
Can someone join only by investing money?
Investment alone does not establish producer eligibility.
Can the company operate outside its district or State?
It may undertake permitted activities beyond its registered-office location, subject to its constitutional documents and applicable registrations and licences.
Is all income or every sale automatically tax-exempt?
No. Assess tax treatment under applicable law and the nature of each transaction.
