Board-meeting preparation
Under section 378V, the Chief Executive gives at least seven days’ notice in writing to directors. A shorter-notice meeting requires the reasons to be recorded by the Board in writing. Check the Articles, current Secretarial Standard SS-1 and delivery evidence. Circulate an agenda, financial information, proposed approvals, conflicts and supporting papers so that directors can make informed decisions.
Quorum and decisions
The Board quorum is one-third of total strength, subject to a minimum of three. Check participation and conflict rules for each item, not only at the opening of the meeting. Record attendees, disclosures, documents considered, resolutions, dissent where relevant and delegated authority. A resolution should identify the person authorised, the action, financial limit, conditions and reporting obligation.
AGM pack
Section 378ZA requires at least 14 days’ prior written notice and specifies the accompanying information. Include the agenda, audited financial statements and reports where applicable, director-election information, proposed surplus appropriation and other required material. The general-meeting quorum is one-fourth of total membership unless the Articles require a higher number. Verify the voting provisions and active-member criteria; an individual producer’s voting rights are not simply proportional to shares.
Minutes and records
Prepare and enter minutes within the applicable statutory period, ordinarily 30 days under section 118, and follow the applicable Secretarial Standards and signing requirements. Minutes are a formal record of what occurred, not a substitute for an unheld meeting. Maintain a separate action tracker showing who must implement each resolution. Preserve notices, dispatch proofs, attendance, proxies where permitted, voting records and signed minutes.
After the meeting
Update the registers, communicate approved actions and complete event filings. Check whether resolutions require filing; not every Board resolution has the same filing treatment. Confirm annual filings, auditor appointment where relevant, member communications and bank mandate updates. Use the draft notices as starting text and obtain company-specific review for elections, removal, capital changes or contested meetings.
Example: A nine-director Board needs a quorum of three under the one-third/minimum-three rule. A 100-member company ordinarily needs 25 members for a general meeting unless its Articles require more. These examples do not resolve conflicts, vacancies, attendance mode or adjournment rules; check those for the actual meeting.
