Start with the incorporation file
Collect the certificate of incorporation, PAN/TAN, approved Memorandum and Articles, subscriber details, registered-office evidence and all filed attachments. Confirm the exact name, CIN and incorporation date. Create a shared compliance file with a named custodian; restrict access to identity documents. Reconcile the objects with the activities the company intends to undertake. Incorporation alone does not provide a food or agricultural-input licence.
Within the first 30 days
Arrange the first Board meeting under the applicable general provisions, read with Chapter XXIA. Appoint the first auditor within 30 days of registration under section 139(6); if the Board fails, the members’ appointment procedure applies. Complete registered-office verification within the applicable 30-day period. Set bank operating authority, obtain director disclosures and arrange books of account. Appoint the full-time Chief Executive required by section 378W; do not treat the first-AGM deadline as a grace period for the CEO appointment.
Capital, certificates and commencement
Receive subscription money through traceable banking channels and reconcile each subscriber to the register. Issue subscription share certificates within two months of incorporation under section 56. A newly incorporated company with share capital covered by section 10A must file the commencement declaration, INC-20A, within 180 days and meet the conditions before commencing business or exercising borrowing powers. Record evidence of receipt, rather than treating a bank-account opening as proof that capital has been paid.
Before day 90
The first AGM must be held within 90 days of incorporation under section 378ZA. Plan the 14-day written notice and attachments well in advance. Elect directors within 90 days under section 378P, subject to the specific conversion exception. Check Articles, member eligibility, quorum, nominations and the election process. The ordinary-company first-AGM timetable must not replace the Producer Company rule.
Days 91–180 and handover
Check that Board meetings meet the once-in-every-three-months and four-per-year rules. Put a CA-led internal-audit programme in place at the interval in the Articles. Reconcile capital, member procurement, stock and bank balances monthly. Review business licences before starting each activity. Maintain a rolling calendar for annual and event filings; the 180-day milestone is not a postponement of earlier duties. The Board should review an exception report listing overdue actions, corrective steps and responsible persons.
Example: A company incorporated on 1 July should schedule its first Board and auditor actions in July and its first AGM well before the 90-day limit, allowing for notice delivery. Do not wait until the INC-20A deadline to check unpaid subscriptions. Enter exact statutory dates in the tracker after checking how the relevant period is counted.
