Inactive member or lost eligibility

Read the Articles and sections governing active membership, eligibility and surrender before taking action. Compile the participation history and explain the proposed issue to the member. Give the required opportunity to respond and document consideration of the response. Distinguish loss of active status, voting consequences and termination of membership; they are not automatically interchangeable. Correct the register only after a lawful decision and settlement.

Missing books or mismatched shares

Protect available records and obtain bank statements, filed returns, certificates, minutes and member confirmations. Build a discrepancy schedule rather than rewriting history to make balances match. Reconstruct with an evidence trail, obtain professional review and place material exceptions before the Board. Do not issue duplicate certificates without the required procedure or silently delete old entries.

Member loan overdue

First establish whether the original credit or loan complied with section 378ZK, Articles and approvals. Reconcile principal, interest, security and payment history. Send an accurate statement and repayment request; consider any permitted restructuring through the correct authority. Director or relative cases require specific approval analysis. Do not use informal coercion or arbitrarily confiscate share capital as a collection method.

ROC, tax or licence notice

Record the date and mode of service, response deadline, authority, statutory provision and allegations. Preserve the notice and evidence; appoint the appropriate professional and authorised signatory. Create a factual chronology, reconcile filings and request records promptly. Respond through the prescribed channel, retain acknowledgement and monitor hearing or follow-up dates. Payment of a penalty does not necessarily cure the underlying default.

Disputes and complaints

Acknowledge complaints, separate fact finding from decision making and keep conflicted people out of the review where appropriate. Record the desired remedy and relevant Articles/contracts. Obtain advice on the correct forum and remedy: section 378ZO provides a specific dispute mechanism for covered disputes, but not every employment, tax, insolvency or company-law issue falls under the same route. Do not promise that all disputes can be handled internally or that one forum always has jurisdiction.

Worked example · fictional facts

Example: A member says the company paid for only 800 kg while the procurement slip records 1,000 kg. Compare weighment, quality deduction authority, invoice and bank payment. Correct a posting error with a dated adjustment and explanation. If the difference is a disputed quality deduction, follow the contract and grievance process instead of changing the original weighment slip.
