Build a calendar from company facts

Record incorporation date, financial-year end, AGM date, last Board meeting, directors, employee count, turnover, taxable supplies, States of operation and each licence. For each item record the legal source, whether it applies, the trigger, statutory deadline, internal deadline and reviewer. Save the notification supporting any extension. A single calendar copied from an ordinary private company can miss Producer Company requirements.

Recurring company-law controls

Hold at least four Board meetings each year, with at least one in every three months (section 378V). Hold the first AGM within 90 days; subsequent AGMs are governed by section 378ZA, including the limit between AGMs. Plan audit, member notices and required attachments backwards from the meeting. Section 378ZA(10) provides a 60-day period after the AGM for the specified annual documents; confirm the applicable AOC-4 and annual-return filings and current MCA instructions. Do not substitute an ordinary-company 30-day assumption for the Producer Company financial-statement filing.

Event-based obligations

Track director appointments and cessations, allotments, beneficial-interest declarations, changes in office, registered charges and satisfaction of charges separately. A transaction can create several filings with different triggers. Before execution, have the professional confirm the form, approval sequence and deadline. Record SRNs, payment receipts and portal approval or resubmission status; payment alone does not prove the filing has been accepted.

Tax, GST and payroll

Determine the applicable income-tax return, tax-audit requirement, advance-tax instalments, withholding payments and statements, GST registration and return frequency, and payroll obligations. The Income Tax portal distinguishes dues up to FY 2025–26 under the 1961 Act from Tax Year 2026–27 onwards under the 2025 Act. Use the correct year, law and form. Producer Company status does not itself confer a blanket income-tax or GST exemption. Do not copy previous-year rates or deadlines without verification.

Monthly review and escalation

At each month-end reconcile books to tax returns, member balances, payroll and the bank. Flag deadlines due in 30 days and overdue items to the CEO and Board. Review licence expiry and renewal lead time quarterly. If there is a missed filing, preserve the actual chronology, calculate consequences with the adviser and complete the lawful remedial process; never backdate documents.

Worked example · fictional facts

Example: For an AGM held on 15 September, create separate tasks for meeting records, AOC-4, annual return and any auditor-appointment filing. Apply the specific legal trigger to each. Set the internal filing target earlier than the legal limit and attach the reviewed calculation rather than giving every task the same date.
